TERMS OF USE

These Terms of Use (“Terms”) are a legal agreement between AMAYS Money Properties LLC, (“AMAYS” or “LICENSOR” ) a company having its registered office at 13909 84th Drive #1A, Briarwood, NY, 11435, and a dental practitioner, dental office, or authorized administrative entity acting on behalf of a dental practice, agreeing to the terms herein (“dental doctor”, “dental office”, “Customer”, “You” , “you” or “LICENSEE” ). By registering, using or accessing any part of DentalSocialFunds.com (the “Service”) and related services, You agree that You have read, understand, and agree to be bound by these Terms. If You are entering into this Terms on behalf of a company, You represent that You have the authority to bind that company to these Terms.

1. DESCRIPTION OF SERVICE

DentalSocialFunds by AMAYS provides a Dental Marketing Referral System (the “Service”). The Service is designed to assist dental service providers (“Clients”) in promoting their dental practices through patient referrals.

The Service is delivered via access to and use of proprietary software and related digital resources, and all communication related to the Service is conducted via our secured email communication system, in accordance with HIPAA compliance requirements.

Access to and use of the Service is exclusively for Clients who are dental practices; individual patients may not register for or directly receive services from DentalSocialFunds.com.

2. BUSINESS ASSOCIATE AGREEMENT (BAA)

The BAA must be signed before any Protected Health Information (PHI) is submitted or shared. You are responsible for ensuring that patient data is submitted only after the BAA is executed.

3. INTELLECTUAL PROPERTY AND LICENSE

All content provided through the Website or via our secure email communication — including marketing written and graphic materials, forms, layouts, and designs (collectively, “Materials”) — is the exclusive property of AMAYS Money Properties LLC and is protected under applicable copyright and intellectual property laws.

As a subscriber, you are granted a limited, non-exclusive, non-transferable license to use the Materials solely for your dental practice’s promotional activities within a single licensed dental office location. This includes distribution to patients via email through our service, your practice’s internal communication systems, or your practice’s internal dental office software, provided such use remains limited to the licensed location.

If you choose to run distribution campaigns independently, please notify us at least 3(three) days in advance as each campaign must receive prior authorization from us regarding both content and Materials, and the number of patients included.

You may not:

Resell, sublicense, or distribute the templates to third parties for commercial use.
Share editable versions of the templates outside your organization.
Remove or obscure any proprietary or copyright notices.
Use the templates outside the scope of your license or in violation of applicable law.

Any suggestions, enhancements, or feedback provided by the Licensee may be used by AMAYS without restriction and shall not create any rights for the Licensee in any resulting derivative works or improvements.

4. CLIENT CONTENT AND APPROVAL

Custom templates are only published and distributed upon your final written approval of content and graphics. You are responsible for ensuring that all submitted material complies with HIPAA.

Service Scheduling:

Template Customization: Orders for template customization or re-customization should be placed at least 72 hours before your intended marketing campaign distribution date.
Campaign Launch: Marketing campaigns can be scheduled for distribution no less than 48 hours after all content and materials are fully prepared.

5. RESTRICTIONS on Use

You agree not to:

Use the Website or services to engage in unlawful activity.
Engage in any actions that AMAYS determines are disruptive, inappropriate to the Service or to any other user of this Service.
Upload content that is misleading, infringing, or otherwise inappropriate.

6. TRIAL AND ONGOING USE LIMITATIONS

If your practice participates in a trial program, you may use DentalSocialFunds by AMAYS services to send promotional materials to up to 100 patient emails. Standard use is limited to 1,000 patient emails per month unless otherwise agreed in writing by AMAYS.

7. PAYMENT TERMS

Your monthly subscription fees are outlined in the Corporate Offer, which is incorporated into these Terms of Use. Fees are billed monthly over a one-year subscription term. Your annual agreement will automatically renew for successive one-year periods. Customers can opt out of automatic renewal by sending a cancelation request to cancel@dentalsocialfunds.com at least thirty (30) days prior to the end of the current annual term.

Consequences of Non-Payment: Failure to pay subscription fees when due may result in immediate suspension or termination of access to the website and related services.

All fees paid are non-refundable, including in the event of early termination by the Client. If the Client terminates this Agreement prior to the end of the annual subscription term, automatic renewal will effectively turn off. The Client will still owe the remaining contracted payments for the full current annual term.

The trial period is free of charge if your subscription is canceled prior to the end of the trial period.

Taxes: In consideration of services, Client agrees to pay to AMAYS, the Fees as mentioned above plus applicable Taxes. If AMAYS is obligated to collect or pay Taxes, the Taxes will be invoiced to Customer, unless Customer provides AMAAYS with a timely and valid tax exemption certificate authorized by the appropriate taxing authority.

The Client shall be responsible for all costs incurred by AMAYS in the collection of any overdue payments.

8. TERMINATION

We reserve the right to suspend or terminate your access to the Website or services for violation of these Terms, the BAA, or any applicable law if breach is not cured within 30 days of notice. AMAYS will make commercially reasonable efforts, circumstances permitting, to provide written notice of any Service Suspension or Termination to Customer.

All Materials of DentalSocialFunds by AMAAYS must be destroyed and use discontinued upon termination.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

Service Provided “As Is.” The Service and all Materials are provided “as is.” While we strive for excellence, we don’t guarantee that the Service will be uninterrupted or error-free.

In no event will AMAAYS, its licensors, or affiliates be liable for any indirect, incidental, special, consequential, collateral, exemplary or punitive damages arising from or related to your use of the Website or services by Customer.

IN NO EVENT SHALL AMAYS HAVE ANY OBLIGATION, OR BE LIABLE FOR ANY DAMAGES, DIRECT OR OTHERWISE, UNDER THESE TERMS IN EXCESS OF THE TOTAL AMOUNTS PAID BY CUSTOMER TO AMAAYS PURSUANT TO THESE TERMS. These limitations are cumulative; the sum of multiple claims may not exceed such limit.

Force Majeure. AMAYS shall not be liable for any delay or failure to perform its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, power or internet outages, or failures of third-party service providers.

10. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary, confidential or sensitive information disclosed during the course of using the Service. This confidentiality obligation does not apply to information already publicly known or required by law to be disclosed.

11. GOVERNING LAW

New York Law Governs; New York Courts Exclusive Forum. This Agreement and any matter arising under or related to it, is to be governed by the law of the State of New York, United States of America, as if these Terms and License Agreement were made in and performed entirely in the State of New York. Any disputes shall be resolved in the state or federal courts located in New York. The parties agree to the personal jurisdiction and venue of such courts.

12. MISCELLANEOUS

Severability: If any provision is unenforceable, the remainder of the Terms remains in effect.
Assignment: You may not assign or transfer your rights or obligations without AMAYS’ written consent.
Entire Agreement: These Terms, including the license provisions together with the Privacy Policy, BAA, and Corporate Offer, constitute the entire agreement between you and DentalSocialFunds by AMAYS.
